TRMNL4 Founder Community Subscription Terms

These Subscription Terms (the “Subscription Terms”) govern the paid membership of the TRMNL4 Founder Community (the “Community”) that you access through the website https://platform.trmnl4.com/ (the “Website”). They form an agreement between you and Send Right Limited, a company incorporated in Gibraltar (reg. no. 120444), with registered office at 5-9 Main Street, Gibraltar GX11 1AA (“TRMNL4”, “we”, “us” or “our”).

These Subscription Terms apply in addition to, and form part of, our Founder Community Rules and Privacy Policy. Where there is a conflict on payment or subscription matters, these Subscription Terms prevail.

1. Membership and access

1.1. The Community is a personal, paid membership offered to approved individual founders. Your membership and access are personal to you and may not be shared, resold, assigned, or transferred to any other person, team, or company.

1.2. Access is granted only after (i) your application has been approved by us, (ii) you have accepted these Subscription Terms, and (iii) you have successfully enrolled in the subscription plan and provided a valid payment method.

1.3. What your membership includes is described in the Founder Community Rules and on the Website, and may include founder and expert sessions, access to the session library and recordings on the TRMNL4 platform, founder-to-founder and investor introductions (where relevant and on request), partner perks, and community communication channels. We may add to, change, or remove features from time to time.

2. Subscription plans

2.1. When you enrol, you choose one of the subscription plans offered on the Website. The features, price (the “Fee”), billing frequency, term length, any introductory discount or trial, and renewal basis for each plan are those shown to you during onboarding, before you confirm your purchase.

2.2. Each plan is a recurring subscription. Unless you cancel, it automatically renews at the end of each billing period or term, and we (through our Payment Processor) will charge the applicable Fee for the next period on a recurring basis in accordance with Section 3. Some plans may be paid in instalments over the plan term rather than as a single up-front payment; where this applies, the instalment amounts and schedule are shown to you at enrolment.

3. Payment method and processing

3.1. The Fee will be charged to the payment method you provide at enrolment by our third-party payment provider (the “Payment Processor”). You authorise us and our Payment Processor to charge the Fee and any applicable taxes to that payment method on a recurring basis, in accordance with these Subscription Terms and without requiring separate authorisation for each charge, until your subscription ends.

3.2. You must keep your payment method valid and up to date. If a payment is declined or cannot be collected, we (or our Payment Processor) may retry the charge over a reasonable period. If payment remains unsuccessful, we may suspend or terminate your subscription and your access to the Community.

4. Cancellation

4.1. You can cancel your subscription at any time in your account settings on the Website, or by contacting us at community@trmnl4.com.

4.2. Cancelling disables automatic renewal. You will keep access to your membership for the remainder of the billing period you have already paid for, and your access will end at the end of that period.

4.3. Leaving the community or deleting your account does not cancel your subscription or stop future charges. To stop charges, you must cancel your subscription as described above.

5. Changes to fees and to these terms

5.1. To the maximum extent permitted by applicable law, we may change the Fee and these Subscription Terms at any time. We will give you reasonable advance notice of any change to the Fee, or any material change to these Subscription Terms, by email and/or by posting the updated terms or prices on the Website, or in another prominent way.

5.2. Changes to the Fee will not affect the period you have already paid for. If you do not agree to a new Fee or to changed terms, you may cancel your subscription before the change takes effect. If you continue your subscription after the change takes effect, you accept the change.

6. Refunds

6.1. To the extent permitted by applicable law, payments made through the Website are non-refundable and non-exchangeable, except where otherwise stated in these Subscription Terms or required by applicable law.

Note for consumers in the EU/EEA and UK – right of withdrawal

6.2. If you are a consumer resident in the EU/EEA or the United Kingdom, you have 14 days to withdraw from this contract, without giving any reason and without incurring any costs other than as set out below. The period expires 14 days after the day the contract is concluded.

6.3. To exercise the right of withdrawal, you must inform us of your decision by a clear statement (for example, by email to community@trmnl4.com). To meet the deadline, it is enough that you send your communication before the withdrawal period expires.

6.4. If you withdraw, we will reimburse all payments received from you without undue delay and in any event within 14 days of being informed of your decision. We will use the same means of payment you used for the initial transaction, unless you expressly agree otherwise; you will not incur any fees as a result of the reimbursement.

6.5. If you have been presented with, and you have provided your prior express consent to begin the performance during the right of withdrawal period and acknowledgment that you will lose your right of withdrawal, then, unless the Service is defective, you will not be eligible for a refund in relation to digital content, and will only be eligible for a proportional refund in relation to digital service. If this provision applies, we will provide you with a copy of the confirmation of your prior express consent and acknowledgement on a durable medium.

7. Effect of cancellation or termination

7.1. When your subscription ends – by cancellation, non-payment, or termination – your access to the Community, the platform, sessions, the session library, and the communication channels will end.

7.2. Provisions that by their nature should survive (including confidentiality obligations under the Founder Community Rules and any accrued payment obligations) survive the end of your subscription.
